Pascal Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, mobile applications, application programming interfaces, and related services (collectively, the "Platform") provided by Pascal Group Inc. ("Pascal," "we," "us," or "our"), a Delaware corporation. By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. The Platform
The Platform lets you, as a homeowner or property occupant ("you" or "User"), keep a digital record of your home, request and schedule home-related services, communicate with service providers, store documents and media, and receive service communications, summaries, reports, and notifications. Some services and memberships available through the Platform are provided or coordinated by Pascal Home Services, Inc., a Pascal-affiliated service operator, or by another authorized service operator (each, a "Service Operator"). Where you enter into a separate agreement with Pascal Home Services, Inc. or another Service Operator, that agreement governs the services you receive from that Service Operator, and these Terms continue to govern your use of the Platform.
2. Eligibility
You must be at least 18 years old and able to form a binding contract under applicable law to use the Platform. If you use the Platform for a property, household, or organization, you represent that you are the owner or are legally authorized by the owner, household, organization, or applicable law to manage that property or account, provide property information, grant access where requested, request services, approve quotes, receive service records, and accept charges and responsibilities for the actions you take through the Platform. This representation does not limit Pascal's responsibility for Platform content or services Pascal provides to you.
3. Your account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and current information when you create your account and keep that information up to date. You will promptly notify Pascal at support@pascal.app if you suspect any unauthorized use of your account.
4. License and acceptable use
Subject to your compliance with these Terms, Pascal grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use to manage your home and to request and receive services. You agree to use the Platform only as permitted by these Terms, the Acceptable Use Policy at https://www.pascal.app/acceptable-use, and applicable law. Without limiting the foregoing, you agree not to:
- copy, modify, distribute, sell, rent, lease, sublicense, or create derivative works of the Platform;
- reverse engineer, decompile, or attempt to extract source code from the Platform, except where such restriction is prohibited by applicable law;
- interfere with or disrupt the Platform, including by introducing malware, conducting denial-of-service attacks, or exceeding rate limits;
- use the Platform to harass, threaten, defraud, or harm any person;
- use any data, content, or output from the Platform to train or develop automated systems or competing products without Pascal's written permission; or
- use the Platform in violation of any law, regulation, or third-party right.
5. Service requests and third-party services
You can use the Platform to request services from Pascal Home Services, Inc., other authorized Service Operators, and service professionals who perform work for or through those operators. Pascal Group Inc. operates the Platform; the applicable Service Operator is responsible for the service commitment described in the membership agreement, quote, or other service-specific terms you accept. For Pascal Home Services membership work, Pascal Home Services remains your member-facing coordinator and support path even when Pascal Home Services Personnel or a Partner Contractor performs the work. Optional quoted work outside a membership must identify the responsible service party, scope, price, warranty, cancellation/refund rule, and any direct contractor relationship before you accept it.
6. Fees, payments, and subscriptions
Some features of the Platform are free. Other features, including memberships and one-off services, are paid. Prices, billing terms, and refund rules are displayed before you confirm a purchase or subscription. You authorize Pascal and its payment processor to charge your payment method for the amounts you owe. Where the underlying service is provided by Pascal Home Services, Inc. or another Service Operator, Pascal acts as a limited payment agent on behalf of that Service Operator solely for the purpose of accepting your payment.
All fees are non-refundable except as required by law, as expressly stated in these Terms, or as set out in the agreement governing the specific service (for example, the Pascal Home Services Membership Agreement contains its own refund and cancellation rules).
7. User Content and Service Records
You may upload photos, video, descriptions, notes, documents, and, where the Platform supports it, audio or other content ("User Content"). You retain all ownership rights in your User Content. By uploading User Content, you grant Pascal a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, distribute, and create derivative works of your User Content solely (a) to operate, provide, secure, and improve the Platform, (b) to share with Pascal Home Services, other Service Operators, and Partner Contractors you have engaged so they can deliver, document, warrant, and support services to you, and (c) in anonymized or aggregated form for analytics and product development. You represent that you own or have the necessary rights to your User Content and that it does not infringe any third party's rights.
Pascal, Service Operators, Pascal Home Services Personnel, Partner Contractors, inspectors, and support personnel may create records while providing or supporting services through the Platform ("Service Records"). Service Records may include photos, video, written notes, measurements, equipment details, diagnostics, service reports, support communications, quality-control records, technician-performance records, and call or audio recordings where legally noticed and consented. Service Records may be owned or controlled by Pascal, the applicable Service Operator, or the creating Partner Contractor, but Pascal will make Property-related Service Records available to you through the Platform where legally and operationally appropriate. You may request export or deletion of User Content and applicable Service Records, subject to retention needed for legal, tax, billing, fraud, safety, warranty, quality, insurance-documentation, dispute, audit, and active-service obligations.
You agree not to upload User Content that is illegal, infringing, obscene, defamatory, or harmful, or that contains personal data of any other person without their consent. Pascal may remove User Content that violates these Terms or applicable law.
8. AI-assisted content
Some service communications, summaries, reports, scheduling notes, and similar content that Pascal sends or shows to you may be generated or assisted by artificial intelligence. We use this to make homeowner communications clearer, faster, and easier to understand. Pascal remains responsible for the communications, summaries, reports, and other content it sends or presents to you.
9. Intellectual property
The Platform, including its software, design, branding, and Pascal-authored content, is owned by Pascal or its licensors and is protected by intellectual property laws. "Pascal" is a brand and trade name used by Pascal Group Inc. and its affiliated service operators. Except for the license granted to you in Section 4, no rights are granted to you in the Platform or in the Pascal brand.
10. Communications and notifications
By creating an account, you agree to receive transactional communications from Pascal at the email address, phone number, and push notification endpoints associated with your account. Transactional communications include account, security, billing, scheduling, and service-related messages. SMS notifications are governed by the separate SMS Communications Terms at https://www.pascal.app/sms-consent. Marketing communications are opt-in and you can unsubscribe at any time.
11. Mobile applications
If you install a Pascal mobile application from Apple's App Store or Google Play:
- Apple App Store. You acknowledge that these Terms are between you and Pascal, and not with Apple Inc. Apple is not responsible for the application or its content. The license granted in Section 4 is limited to use on Apple-branded devices that you own or control, in accordance with the App Store Terms of Service. Apple has no obligation to provide maintenance or support for the application. Apple is a third-party beneficiary of these Terms and may enforce them against you.
- Google Play. You acknowledge that these Terms are between you and Pascal, and not with Google LLC, and that the Google Play Terms of Service apply to your download and installation of the application.
12. Term and termination
These Terms remain in effect while you have an account. You may close your account at any time at https://www.pascal.app/delete-account or in the mobile app under Account > Delete Account. Pascal may suspend or terminate your account if you breach these Terms, if Pascal is required by law, or if Pascal stops offering the Platform. Sections 7 (license to User Content already provided, and retention/use of Service Records as permitted by these Terms and the Privacy Policy), 9 (intellectual property), 13 (disclaimer), 14 (limitation of liability), 15 (indemnification), 16 (dispute resolution), and 17 (general) survive termination.
13. Disclaimer
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, PASCAL DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. PASCAL DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. PASCAL GROUP INC. DOES NOT PROVIDE THE MEMBERSHIP OR OTHER SERVICE COMMITMENTS GOVERNED BY A SEPARATE AGREEMENT WITH PASCAL HOME SERVICES OR ANOTHER SERVICE OPERATOR, AND DISCLAIMS WARRANTIES FOR THOSE SEPARATE SERVICES EXCEPT TO THE EXTENT EXPRESSLY STATED IN THE APPLICABLE SERVICE-SPECIFIC AGREEMENT.
14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PASCAL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF PASCAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PASCAL'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO PASCAL UNDER THESE TERMS IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD 100). NOTHING IN THESE TERMS LIMITS LIABILITY FOR FRAUD, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
15. Indemnification
You will defend, indemnify, and hold Pascal and its officers, directors, employees, and agents harmless from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with (a) your access to or use of the Platform, (b) your User Content, (c) your lack of authority to manage a property, grant access, request services, approve quotes, or provide instructions through the Platform, (d) your violation of these Terms, or (e) your violation of any applicable law or third-party right.
16. Dispute resolution
16.1 Informal resolution
Before filing a claim, you agree to try to resolve the dispute informally by contacting Pascal at legal@pascal.app and providing a written notice describing the dispute and the relief you seek. If the dispute is not resolved within 30 days, either party may bring a formal proceeding.
16.2 Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The federal and state courts located in Wilmington, Delaware have exclusive jurisdiction over any claim that is not subject to arbitration, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
16.3 Arbitration and class action waiver
Please read carefully. Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be held in your county of residence or in any other location the parties agree. You and Pascal each waive the right to trial by jury and the right to bring or participate in a class action, mass action, or representative proceeding. Either party may bring an individual claim in small-claims court if it qualifies. You may opt out of this Section 16.3 by sending a written notice to legal@pascal.app within 30 days of the first time you accept these Terms or within 30 days of any material re-acceptance prompted by Pascal, whichever is later; opt-out does not affect any other provision of these Terms.
17. General
These Terms (together with the Privacy Policy, Cookie Policy, Acceptable Use Policy, SMS Communications Terms, and, where applicable, the Pascal Home Services Membership Agreement) are the entire agreement between you and Pascal regarding the Platform. If any provision is found unenforceable, the remaining provisions will remain in effect. Pascal may amend these Terms by posting the updated version on https://www.pascal.app/terms; material changes will be communicated by email or in-app notice and will become effective on the date stated in the notice. Your continued use of the Platform after the effective date constitutes acceptance. You may not assign these Terms without Pascal's written consent. Pascal may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
